Account: A unique account created for You to access our Service. Affiliate: Any entity that controls, is controlled by, or is under common control with a party. Application: The Madelocal platform provided by the Operator. Buyer: Users who purchase Goods through the Service. Country: United States. Company / Operator: Madelocal LLC, Texas, United States. Content: Any text, images, or other information made available by You. Device: Any device capable of accessing the Service. Feedback: Suggestions or ideas provided by You about the Service. Good(s): Items offered by Sellers on Madelocal. Order: A request to purchase Goods through the Service. Seller: Users listing Goods on the Service. Service: The Application and Website. Terms: These Terms of Service. Third-party Social Media Service: External services integrated with Madelocal. By using Madelocal, You agree to these Terms of Service and our Privacy Policy. If You do not agree, do not access or use the Service.

You must be of legal age (18+) to use the Service.

4 - Governing Law

These Terms are governed by the laws of Texas, United States, without regard to conflict of law principles.

5 - User Accounts

You are responsible for maintaining the confidentiality of Your Account credentials. You must immediately notify Us of any unauthorized access to Your Account.

6 - Content

You are solely responsible for any Content you post.

Madelocal reserves the right to remove any Content deemed inappropriate or in violation of these Terms.

7 - Orders of Goods

7.1 - Marketplace Role Madelocal acts as a facilitator — not a party — to transactions between Buyers and Sellers. We do not manufacture, inspect, store, or ship Goods sold through Madelocal.

Sellers are solely responsible for the quality, safety, legality, labeling, and delivery of their Goods. Madelocal does not guarantee or warrant any Goods sold and is not responsible for any claims related to them.

8 - Indemnification

8.1 - General Indemnity To the maximum extent permitted by applicable law, You agree to indemnify, defend, and hold harmless Madelocal LLC, its officers, directors, employees, agents, and affiliates from and against any claims, demands, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Goods sold by Sellers through the Service, including but not limited to claims for personal injury, illness, death, property damage, financial loss, or other damages caused by Goods. Your use or misuse of the Service. Your violation of these Terms or of any applicable law or regulation. Any dispute or issue between You and another user (including but not limited to Buyers and Sellers). You acknowledge and agree that Madelocal LLC is not liable for the actions, Goods, or omissions of Sellers or Buyers.

8.2 - Seller Responsibility Sellers warrant that they comply with all applicable laws, regulations, and standards, including but not limited to food safety, health regulations, and labeling requirements.

Sellers are solely and fully liable for their Goods and any claims, damages, liabilities, or expenses that arise from the sale or consumption of their Goods.

9 - Disclaimer of Warranties and Limitation of Liability

The Service is provided "AS IS" without warranties of any kind. Madelocal disclaims all warranties, express or implied, to the fullest extent permitted by law.

Madelocal’s total liability to You for any claims under these Terms shall not exceed the greater of $100 or the total amount paid by You to Madelocal in the past 12 months.

10 - Disputes

Disputes must first be attempted to be resolved informally by contacting Madelocal.

11 - Intellectual Property

The Service, including all proprietary content and trademarks, is owned by Madelocal LLC.

12 - Your Feedback

By providing Feedback, You grant Madelocal a non-exclusive, perpetual, royalty-free license to use it without restriction.

13 - Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
